Coca-Cola’s Indian Bottling Business Files for IPO, Plans to Offer 99.75 Crore Shares

New Delhi, November 8, 2026: Coca-Cola’s Indian bottling business, Hindustan Coca-Cola Holdings Limited (HCCH), has filed draft documents with the Securities and Exchange Board of India (SEBI) for a proposed initial public offering (IPO) involving the sale of approximately 99.75 crore equity shares.

The draft red herring prospectus (DRHP), dated November 6, 2026, outlines plans for the company’s promoter to sell existing shares through the public offering.

The proposed listing is expected in 2027, subject to regulatory approvals and market conditions.

Coca-Cola India Bottling Arm Files IPO Papers

Hindustan Coca-Cola Holdings, the parent company of Hindustan Coca-Cola Beverages (HCCB), has formally initiated the process of entering India’s stock market.

According to the draft filing, the IPO will comprise up to 99,74,61,456 equity shares, each having a face value of ₹10.

The shares will be offered by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd.

The company plans to list its equity shares on both the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE).

However, the IPO’s price band, total issue value and opening date have not yet been announced.

IPO Will Be Entirely an Offer for Sale

The proposed public issue will be structured entirely as an Offer for Sale (OFS).

This means existing shareholders will sell their shares to public investors rather than the company issuing new shares.

As a result, Hindustan Coca-Cola Holdings will not receive fresh capital from the IPO.

Instead, proceeds from the share sale will go directly to the selling promoter shareholder.

The structure is consistent with Coca-Cola’s wider strategy of reducing direct ownership of certain bottling operations while maintaining its beverage business.

Coca-Cola and Jubilant Group Own HCCH

Hindustan Coca-Cola Holdings is backed by two major shareholders.

The Coca-Cola Company currently owns 60% of HCCH through Hindustan Coca-Cola Overseas Holdings Pte Ltd.

The remaining 40% is owned by Jubilant Beverages Limited, associated with the Jubilant Bhartia Group.

Jubilant became a promoter of the business in July 2025.

The proposed IPO will allow Coca-Cola’s holding entity to reduce its ownership stake by selling a portion of its existing shares.

Jubilant Beverages is not identified as a selling shareholder in the proposed offering.

HCCH Revenue Rises 20.46% in June Quarter

The company’s financial performance has attracted attention ahead of the proposed listing.

For the three months ended June 30, 2026, HCCH’s retained business units reported revenue from operations of ₹4,310.17 crore.

This represented a year-on-year increase of 20.46%.

Total sales volume rose by 18.61% during the same period.

The company’s EBITDA margin, excluding other income and exceptional items, improved to 17.20%, compared with 13.76% in the corresponding quarter of the previous year.

These figures indicate growth in both revenue and operating profitability during the reported period.

Coca-Cola Operates Major Beverage Brands in India

Hindustan Coca-Cola Beverages manufactures and distributes several popular beverage brands across India.

Its portfolio includes Coca-Cola, Thums Up, Sprite, Fanta, Limca, Maaza, Minute Maid and Kinley.

The business operates across sparkling beverages, hydration products and other non-alcoholic drinks.

According to the company’s IPO disclosures, its portfolio included 41 products as of June 30, 2026.

The business also had a distribution network covering approximately 17 lakh retail outlets, supported by 2,273 distributors.

HCCH Has 14 Bottling Plants Across India

Hindustan Coca-Cola Beverages operates 14 manufacturing facilities across 10 Indian states.

The Bengaluru-headquartered business plays a major role in producing and distributing Coca-Cola products.

The company’s operations also involve packaging, logistics, supply-chain management and retail distribution.

Its manufacturing infrastructure helps supply beverages to urban and rural markets.

The large distribution network is expected to be an important consideration for investors examining the proposed IPO.

India Is Coca-Cola’s Fifth-Largest Market

India remains one of Coca-Cola’s most important international markets.

The country is currently among the company’s five largest markets worldwide.

Growing consumption, wider retail distribution and demand for packaged beverages have supported expansion in the Indian market.

The proposed listing comes as multinational companies increasingly explore opportunities to unlock the value of their Indian subsidiaries.

IPO Supports Coca-Cola’s Asset-Light Strategy

Coca-Cola has been gradually reducing its direct ownership of bottling operations in several markets.

Under its asset-light model, the company increasingly focuses on beverage brands, product development, marketing and strategic operations.

Independent and partly owned bottling partners undertake a greater share of manufacturing and distribution activities.

In India, Coca-Cola has already transferred certain regional bottling operations to franchise partners.

The proposed HCCH listing represents another step in this broader business strategy.

When Will Coca-Cola India’s IPO Open?

Although draft papers have been submitted to SEBI, the company has not announced a confirmed IPO opening date.

The proposed stock market listing is being targeted for 2027.

Before the public issue can begin, the company must complete the applicable regulatory process and finalise the offer documents.

Investors will need to wait for the official price band, subscription dates, lot size and other issue details.

The ₹10 face value mentioned in the filing is not the IPO subscription price.

What the IPO Means for Investors

The proposed public offering could give investors an opportunity to own shares in one of India’s largest beverage bottling businesses.

However, investors will need to examine the company’s financial performance, valuation, profitability, competitive position and risk disclosures before making investment decisions.

Because the issue is entirely an offer for sale, the company itself will not receive additional funds to finance expansion.

The final valuation and offer price will be important factors in assessing the investment opportunity.

Coca-Cola India IPO Marks Major Market Development

The filing of IPO documents by Hindustan Coca-Cola Holdings represents an important step towards bringing Coca-Cola’s Indian bottling operations to public markets.

With nearly 100 crore shares proposed for sale, the offering could become a significant corporate listing in India.

The business’s extensive manufacturing operations, established beverage brands and large distribution network will be closely examined as the process moves forward.

For now, the IPO remains at the draft filing stage, with its final pricing, valuation and launch schedule yet to be determined.
