Fairfax Buys 60.7% Controlling Stake in IDBI Bank for $5.56 Billion in Landmark Banking Deal

Mumbai, October 15, 2026: Canada-based Fairfax Financial Holdings has agreed to acquire a 60.7% controlling stake in IDBI Bank for ₹52,878 crore ($5.56 billion), marking what is being described as India’s largest cross-border banking transaction. The deal, which has been under discussion for more than four years, still requires final regulatory approval from the Reserve Bank of India (RBI).

Fairfax to Pay ₹81 Per Share

Under the agreement, Fairfax will acquire the controlling stake at ₹81 per share.

The offer price is above the government-assessed fair value of ₹75.99 per share, although it remains below IDBI Bank’s market price immediately before the deal announcement.

Government and LIC to Sell Major Stakes

The Government of India and state-run Life Insurance Corporation of India (LIC) will each sell roughly 30% of the bank.

Following completion of the transaction, the government is expected to retain around 15%, while LIC will hold approximately 19%, leaving the two entities with a combined stake of roughly 34%.

Fairfax Gets Management Control

The deal will transfer management control of IDBI Bank to Fairfax.

The government and LIC are expected to step away from board-level control and remain passive public shareholders after the transaction is completed.

India’s Biggest Cross-Border Banking Deal

At $5.56 billion, the acquisition is being described as India’s largest cross-border banking transaction. It also represents one of the biggest foreign investments in the country’s financial-services industry.

Deal Still Needs RBI Approval

The transaction is not yet fully complete. Fairfax must obtain the required regulatory approvals, including clearance from the Reserve Bank of India, before the transfer of ownership and management control can take effect.

IDBI Bank Has Seen Major Turnaround

IDBI Bank has undergone a significant financial recovery over the past several years.

Its gross non-performing asset ratio has fallen from approximately 32% in 2018 to around 2.3% in 2026, improving the bank’s attractiveness to strategic investors.

Bank Has More Than 2,000 Branches

IDBI Bank operates a nationwide network of more than 2,000 branches and has assets of approximately ₹4.44 trillion.

The scale of its network gives Fairfax an immediate presence across India’s retail and corporate banking markets.

Fairfax Already Has Significant India Exposure

Fairfax is not a newcomer to India. Through Fairfax India Holdings, the Canadian investment group already has substantial investments in the country and holds interests in financial businesses, including IIFL Capital and 5paisa.

CSB Bank Ownership Creates Regulatory Question

Fairfax already controls CSB Bank, raising a regulatory question because Indian banking rules generally restrict a promoter from simultaneously holding controlling stakes in two banks.

According to reports, Fairfax is expected to have around two years to resolve the dual-ownership situation.

Possible CSB-IDBI Combination in Focus

Analysts have raised the possibility that Fairfax could eventually explore a merger or restructuring involving CSB Bank and IDBI Bank.

Such a combination could strengthen Fairfax’s retail banking presence by bringing together CSB Bank’s regional footprint and IDBI Bank’s larger nationwide network. However, no merger should be considered confirmed unless officially announced.

IDBI Shares Fall After Deal Announcement

IDBI Bank shares fell more than 6% on October 15 as investors booked profits following the acquisition announcement.

The stock had climbed nearly 13% in anticipation of a deal before the official announcement.

Foreign Investment in Indian Banking Rising

The Fairfax transaction comes amid growing overseas investment in India’s financial sector.

Recent deals have included Emirates NBD’s investment in RBL Bank and Japanese financial groups taking stakes in Indian lenders and non-bank financial companies.

Major Step in India’s Privatisation Programme

The IDBI Bank sale is also one of the most significant developments in India’s bank-privatisation programme.

The government began pursuing strategic disinvestment in IDBI Bank several years ago. The Fairfax transaction represents a major proposed transfer of control of a large Indian lender to a foreign investor, subject to the required regulatory approvals.
